INSIDE INFORMATION: Bioretec Ltd successfully completes private placement raising EUR 10 million (2)

TAMPERE, Finland, April 28, 2023 /PRNewswire/ -- Bioretec Ltd ("Bioretec" or the "Company"), a pioneer in bioabsorbable orthopedic implants, hereby announces the result of the offering of new shares (the "Placing Shares") in a private placement to institutional and other qualified investors (the "Placing"). The Company announced the launch of the Placing by way of a company release published on 27 April 2023. Bioretec raises gross proceeds of EUR 10 million in the Placing.

The proceeds from the Placing will be used to accelerate the U.S. commercialization and distribution of Bioretec's RemeOs products, facilitate the expansion of manufacturing capacity for RemeOs products, and enhance the product development of other RemeOs products, following the U.S. market authorization received by the Company for its RemeOs trauma screw from the U.S. Food and Drug Administration (FDA), as announced on 30 March 2023.

In the Placing, the Company expects to issue a total of 5 000 000 Placing Shares in a directed share issue. The Placing Shares represent approximately 35.4 per cent. of the issued shares in Bioretec prior to the Placing and approximately 26.1 per cent. of the issued shares in Bioretec following the Placing. The total number of issued shares in the Company after the Placing will be 19 136 858.

The subscription price of the Placing Shares is EUR 2.00 per Placing Share, corresponding to a discount of 18.4 per cent to the closing price on First North Growth Market Finland immediately before the commencement of the Placing on 27 April 2023. The subscription price shall be recorded in the invested unrestricted equity reserve.

The Placing was carried out based on offers received in an accelerated book building and based on the authorization granted to the board of directors by the Company's annual general meeting of 13 April 2022.

The Placing Shares (ISIN code FI4000480454) will be registered with the trade register maintained by the Finnish Patent and Registration Office on or about 28 April 2023. The Placing Shares are expected to be ready for delivery to the investors against payment through Euroclear Finland Oy on or about 3 May 2023.

Trading in the Placing Shares is expected to commence on Nasdaq First North Growth Market Finland on or about 3 May 2023.
